Welcome to Acadexa – Built For Modern Schools.

These Terms & Conditions (“Terms”) govern your access to and use of the Acadexa School Management System (“Acadexa”, “Platform”, “Service”, “Application”, “we”, “our”, or “us”).

The Platform includes web applications, mobile applications, Student Web Portals, Teacher Portals, Administrator Panels, Transportation Modules, communication systems, and related digital interfaces and services.

Acadexa is owned and operated by Vardhman Creative Studio.

1. Acceptance of Terms

By accessing, registering for, or using the Platform, you agree to comply with and be legally bound by these Terms.

If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately.

2. SaaS Subscription Model

Acadexa operates as a subscription-based Software-as-a-Service (SaaS) platform.

Educational institutions may subscribe under monthly, annual, or customized subscription plans.

Access to the Platform, including mobile applications, transportation modules, communication systems, and web portals, is subject to active subscription status and compliance with applicable agreements.

3. User Roles & Responsibilities

The Platform may be accessed by:

School Administrators
Teachers and Staff Members
Students
Parents or Guardians
Transport Coordinators or Drivers where transportation features are enabled

Users agree to:

Provide accurate and lawful information
Maintain the confidentiality of login credentials
Use the Platform only for authorized educational purposes
Avoid unauthorized access, misuse, or interference with system functionality

4. Transportation Module Disclaimer

The Transportation Module may provide:

Route and vehicle management
Pickup and drop scheduling
Driver and transport coordination
Optional GPS or live tracking features

Acadexa provides digital management tools only. Actual transportation services are operated and managed solely by the respective educational institution.

Vardhman Creative Studio shall not be responsible or liable for:

Vehicle operations or maintenance
Driver conduct or negligence
Delays, route deviations, or transportation interruptions
Accidents or transport-related incidents
Inaccuracies caused by third-party GPS services, internet connectivity, or network availability

5. Acceptable Use Policy

Users agree not to:

Use the Platform for unlawful, harmful, or fraudulent activities
Attempt to hack, disrupt, overload, or damage the Platform
Upload malicious software, harmful content, or unauthorized material
Misuse student, parent, teacher, staff, or transportation-related data
Access systems, portals, or modules beyond authorized permissions

6. Payments & Billing

Subscription fees must be paid according to agreed billing terms.

Payments are processed securely through authorized third-party payment gateways.

Failure to maintain timely payments may result in restricted access, temporary suspension, or termination of services.

7. Refund & Cancellation

Refunds and cancellations, where applicable, shall be governed by the official Refund & Cancellation Policy published on the Platform.

Unless otherwise agreed in writing, subscription fees are non-refundable.

8. Intellectual Property Rights

All software, applications, designs, branding, technology, web portals, mobile applications, transportation modules, content, and related materials associated with Acadexa are the exclusive intellectual property of Vardhman Creative Studio.

Unauthorized copying, modification, redistribution, reverse engineering, or commercial use is strictly prohibited.

9. Data & Privacy

Use of the Platform is also governed by applicable:

System Privacy Policy
Teacher/Staff Privacy Policy
Student/Parent Privacy Policy

Educational institutions act as Data Controllers for institutional data entered into the Platform.

10. Limitation of Liability

To the maximum extent permitted by law, Vardhman Creative Studio shall not be liable for:

Incorrect or incomplete data entered by users
Temporary interruptions, downtime, or technical issues
Unauthorized access caused by user negligence
Failures of third-party services, payment gateways, SMS providers, GPS providers, or hosting services
Transportation-related incidents, delays, or operational failures
Any indirect, incidental, or consequential damages arising from use of the Platform

11. Suspension & Termination

We reserve the right to suspend, restrict, or terminate access to the Platform in case of:

Violation of these Terms
Non-payment of subscription fees
Misuse of the Platform
Security-related concerns

12. Modifications to Services & Terms

We reserve the right to modify, update, discontinue, or enhance:

Platform features
Pricing structures
Transportation services
Web portals and mobile applications
Subscription plans and policies

Continued use of the Platform after updates constitutes acceptance of revised Terms.

13. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising in relation to these Terms shall be subject to the jurisdiction of competent courts in India.
